Job Summary

Provide legal advice and represent the Company on matters relating to commercial agreements, mergers & acquisitions (domestic and international), and financing matters. Will work closely advising business departments and executives.

Duties and Responsibilities

Develop a deep and expert understanding of UGIs services and business model.
Build strong relationships with company executives, treasury department, commercial sales teams, business development teams, and other internal clients.
Mergers and acquisitions, including dispositions, for domestic and international business units.
Review and negotiate retail and wholesale natural gas sales agreements, as well as the improvement of contract forms and templates.
Provide back-up contractual support to procurement team.
Review and negotiate financing agreements, including credit agreements, private placements, offering documents, note agreements, fee letters, term sheets and other ancillary documents and provide advice related to covenant compliance.
Review, negotiate, and provide advice regarding companys joint ventures and projects in renewable and non-renewable energy generation, infrastructure, and delivery.
Review, negotiate and manage vehicle fleet lease agreements.
Provide anti-trust education, legal advice and counseling.

Knowledge, Skills and Abilities

Exceptional analytical and negotiation skills, integrity, and judgment regarding both legal and business issues.
Excellent interpersonal and communication skills to support a wide range of internal clients.
Specific experience with energy matters preferred.

Education and Experience

JD from a top law school; member of a State Bar in good standing (Pennsylvania preferred).
10+ years of prior large law firm or in-house corporate legal experience.
