RAISON D'ÊTRE
Relevant du vice-président des services juridiques, l'avocat ou le notaire est chargé de produire la documentation juridique appropriée. Il travaille en étroite collaboration avec la haute direction, les parajuristes et le personnel administratif à l'interne. Au besoin, il est en mesure de répondre aux besoins et questionnements de la clientèle.
PRINCIPALES ACTIVITÉS
Administrer et effectuer le suivi des dossiers qui lui sont confiés;
Préparer la documentation pour des dossiers impliquant des réorganisations corporatives, fusion et liquidation d'entreprises, roulement, gel, incorporations de professionnels;
Préparer la documentation pour des dossiers impliquant l'achat et vente d'entreprises (actifs ou actions), incluant la rédaction d'offres d'achat, la vérification diligente et coordonner la mise en place du financement;
Préparer des contrats commerciaux divers (convention de services et ententes diverses);
Faire l'inscription des droits au RDPRM et au registre foncier du Québec;
Rédiger des documents en matière de bail commercial;
Effectuer des recherches, des analyses et émettre des recommandations juridiques pour le personnel à l'interne ainsi qu'aux clients dont il a la responsabilité;
Effectuer la facturation de ses mandats lorsque finalisés et la soumettre à la direction;
Recommander les aspects à être améliorés afin d'augmenter l'efficacité organisationnelle du département et de l'équipe;
Effectuer toute autre tâche connexe et nécessaire dans le cadre de ses fonctions.
PROFIL D'EXIGENCES
COMPÉTENCES ET HABILETÉS
Être orienté client et avoir une facilité à communiquer avec les gens;
Capacité à gérer plusieurs dossiers à la fois et à établir des priorités;
Avoir une bonne capacité d'adaptation et de gestion du stress;
Avoir un bon esprit d'analyse et d'auto-vérification;
Bien travailler en équipe;
Avoir un sens marqué de l'organisation et le souci du détail;
Avoir un intérêt pour le droit des affaires.
CONNAISSANCES TECHNIQUES
Maîtriser la Suite Microsoft Office (Excel, Outlook et Word);
Maîtriser parfaitement la langue française tant à l'oral qu'à l'écrit;
Connaissances en droit fiscal (un atout);
Maîtriser la langue anglaise tant à l'oral qu'à l'écrit (un atout).
SCOLARITÉ
Posséder un baccalauréat en droit;
Être membre du Barreau du Québec ou de la Chambre des notaires.
EXPÉRIENCE DE TRAVAIL
Posséder entre 1 à 3 ans d'expérience à titre d'avocat ou notaire en droit corporatif et commercial dans un contexte de PME et de sociétés privées.
