Who We Are Looking For
Boughton Law's Corporate Services Department is currently recruiting for a full time Corporate Services Paralegal to join our team. Below are some of the responsibilities and job duties of the role.
Key Responsibilities
- Prepare correspondence and documents using application software (Word, ALF & Outlook) and drafting non-standard correspondence.
- Review and respond to numerous daily inquiries from counsel and clients regarding record books and transactions.
- Prepare corporate documents for BC entities, Federal entities and societies, including incorporations/organizations, name changes, dividends (including capital and eligible) share alterations, amalgamations, continuations, restorations, dissolutions, share transactions, changes to directors and officers and changes to registered and records offices, among other transactions including complex acquisition transactions and assisting our tax department with components of tax transactions.
- Prepare and file documents for extra provincially registered corporations in British Columbia and all required updates.
- Prepare and file documents for registration and updates to partnerships, limited partnerships, business names and extra-provincial registrations across Canada.
- Conducting corporate and other due diligence searches.
- Update and maintain corporate records books and ensure documents comply with the applicable legislation and are entered into the ALF database. Conduct records book reviews and prepare documents to correct any minute book deficiencies.
- Prepare invoices to clients and post time sheets (using Acumin accounting software)
- Provide assistance to other paralegals within the department with administrative tasks and back-up for annual reports.
- Perform other related duties as required.
Qualifications
- Minimum 5 years' experience as a Paralegal in a corporate records department
- Proficient in Microsoft Office Applications
- Excellent English oral and written skills.
- Excellent organizational skills
- Ability to draft standard and non-standard correspondence and documents with minimal supervision
- Ability to communicate with clients, lawyers and staff.
- Familiar with billing/invoicing processes in a legal environment.
- Proficient using BC Online, BC Registries and Online Services and ALF.

The salary range for the role represents the Firm's reasonable estimate of the range of compensation at the time of posting. Actual compensation will be dependent upon a number of factors, including but not limited to, the candidate's relevant experience, qualifications.
